Starting a Business in Peru: A Friendly Step-by-Step Guide for Foreigners

Updated: Feb 5

Are you thinking about starting a business in Peru? Whether you want to open a local store, launch an import/export company, start a school, or work remotely while being legally established in Peru, this guide will walk you through every step.

Peru offers a dynamic economy, strategic access to Latin America, and a business-friendly legal framework for foreign investors. At Peru Legal Setup, we help foreign entrepreneurs incorporate, comply, and operate in Peru without unnecessary complexity. We take care of the legal and administrative process so you can focus on growing your business.

What is a S.A.C.?

Most foreign-owned companies in Peru are incorporated as a S.A.C. (Sociedad Anónima Cerrada). This is the most common corporate structure in the country and is comparable to an LLC in the United States or a Ltd. company in Europe.

A S.A.C. offers limited liability protection to its shareholders and flexibility for small to medium-sized businesses. It requires a minimum of two shareholders and allows up to twenty. Shareholders can be individuals or companies, and they can be of any nationality.

If you are starting the business on your own, Peru Legal Setup can provide a nominee shareholder holding 1% of the shares, allowing you to meet the legal requirement while retaining full operational control.

There is no minimum capital requirement by law, making this structure accessible and efficient for foreign entrepreneurs.

Company Formation in Peru

Incorporating a company in Peru is a structured but straightforward process when properly managed. Under normal conditions, the process takes approximately two to three weeks from start to finish.

At Peru Legal Setup, our all-inclusive incorporation service covers the full process:

  • Company name reservation

  • Drafting of bylaws and incorporation documents

  • Notarial formalization

  • Registration before the Public Registry (SUNARP)

  • RUC (tax ID) registration with SUNAT

  • Legal and corporate books

  • Initial tax and accounting setup

  • Ongoing legal and tax guidance

Step-by-step overview

  1. Name reservationWe verify availability and reserve your company name with the Public Registry.

  2. Bylaws and incorporation documentsWe draft the bylaws in Spanish, including corporate purpose, capital structure, and appointment of a legal representative.

  3. Capital contributionThe initial capital is deposited in a Peruvian bank account. There is no mandatory minimum, and practical amounts are usually modest.

  4. Notarial public deedThe incorporation documents are signed before a Peruvian notary. If you are not in Peru, this can be done through a power of attorney.

  5. Public Registry registrationOnce registered, the company acquires legal existence.

  6. Tax registration (RUC)We register the company with SUNAT so it can invoice, hire, and operate legally.

  7. Municipal license (if applicable)For businesses with a physical location, we assist with the operating license before the local municipality.

Ready-made companies

If you need to start operating immediately, Peru Legal Setup also offers ready-made companies (shelf companies). These are fully registered, inactive entities with no prior operations or liabilities.

Ownership transfer and updates can be completed in 1 to 2 business days, allowing you to begin operations almost immediately.

Work Visa for Business Owners

Once your company is registered, foreign shareholders or directors often choose to obtain a Peruvian work visa as legal representative of the company.

Peru Legal Setup manages the entire process, which includes:

  • Drafting a compliant employment contract between you and your company

  • Filing and obtaining approval from the Ministry of Labor

  • Submitting the residency application before Immigration (Migraciones)

  • Assistance with the foreign resident ID (Carné de Extranjería)

The work visa is typically granted for one year and is renewable annually. After a qualifying period, it may lead to permanent residency and eventually Peruvian citizenship, subject to meeting legal requirements.

This route allows you to legally live in Peru, manage your business, open local bank accounts, and operate without immigration risk.
